These terms govern your organisation's access to and use of Sonian, including the application at app.sonian.ai, the website at sonian.ai and related services (together, the "Service").

The Service is provided by Bruxon Tech BV, Termolenhoflaan 62/4, 1731 Asse, Belgium, enterprise number BE 1037.015.221 ("Sonian", "we", "us").

1. Agreement

By creating an account or using the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation to these terms. "Customer" and "you" mean that organisation and its authorised users.

If you and Sonian have signed an order form or separate agreement, it takes precedence over these terms where the two conflict.

The Service is intended for professional use by businesses and public bodies. It is not offered to consumers.

2. Private beta

Sonian is currently in private beta and access is by invitation. During the beta:

  • features may change, be added or be removed;
  • we do not commit to a specific availability level unless agreed in writing;
  • we welcome your feedback and may use it to improve the Service, without obligation to you.

3. Accounts

You are responsible for the accuracy of your account information, for keeping sign-in credentials confidential, and for all activity under your organisation's accounts. Tell us promptly at info@sonian.ai if you suspect unauthorised access.

4. Your content

You own your content. Documents, playbooks and other material you upload ("Customer Content"), and the results the Service generates from them, remain yours.

You grant us a limited licence to host, copy, process and display Customer Content only as needed to provide, secure and support the Service for you. We do not use Customer Content to train AI models, and we do not sell it.

You confirm that you have the rights and any required legal basis to upload Customer Content, including any personal data it contains. Our processing of personal data in Customer Content is governed by our Data Processing Agreement, available on request, and described in our privacy policy.

5. AI-generated results

Sonian uses AI to analyse documents and links each finding to the source passage it relies on. AI output can still be incomplete or wrong.

  • Sonian is a tool that supports professional review. It does not provide legal advice and does not replace the judgment of a qualified professional.
  • You are responsible for reviewing results against the cited sources before relying on them or acting on them.

6. Acceptable use

You agree not to:

  • use the Service in breach of any law, or to infringe anyone's rights;
  • upload malware, or content you are not entitled to share;
  • attempt to access other customers' data, or to bypass security or usage limits;
  • probe, scan or load-test the Service without our written permission;
  • reverse engineer the Service, except where the law allows it;
  • resell or provide the Service to third parties without our agreement;
  • use the Service to build a competing product.

We may suspend access that puts the Service, other customers or third parties at risk. Where reasonable, we will tell you first and give you a chance to fix the issue.

7. Fees and payment

Pricing is agreed with each customer, in an order form or on the checkout page. Unless stated otherwise:

  • fees are in euro and exclude VAT and other applicable taxes;
  • subscriptions renew automatically for the same period until cancelled;
  • payment is processed by Stripe, and invoices are payable within 30 days;
  • you can cancel at any time, effective at the end of the current billing period. Fees already paid are not refunded unless the law or your order form says otherwise.

We will give at least 30 days' notice of any price change, which applies from your next renewal.

8. Confidentiality

Each party will keep the other's non-public information confidential, use it only to perform under these terms, and protect it with at least reasonable care. This does not apply to information that is public, already known to the recipient, independently developed, or that must be disclosed by law.

9. Our intellectual property

We own the Service, including its software, design, and the Sonian name and logo. These terms give you the right to use the Service during your subscription. They do not transfer any intellectual property to you.

10. Availability and support

We work to keep the Service available and secure, and to fix problems promptly. Planned maintenance will be announced in advance where possible. Support is available at info@sonian.ai.

11. Warranties and disclaimer

We will provide the Service with reasonable skill and care. Beyond that, and to the extent permitted by law, the Service is provided "as is", without other warranties, express or implied, including fitness for a particular purpose.

12. Limitation of liability

To the extent permitted by law:

  • neither party is liable for indirect or consequential loss, including lost profits, revenue or data;
  • each party's total liability under these terms is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim.

These limits do not apply to liability for fraud, intentional misconduct, or any liability that cannot be limited under Belgian law.

13. Term and termination

These terms apply while you use the Service. Either party may terminate:

  • for convenience, at the end of the current billing period;
  • immediately, if the other party materially breaches these terms and does not fix the breach within 30 days of written notice.

After termination, you may export your Customer Content for 30 days. We then delete it as described in our privacy policy. Sections that by their nature should survive termination (including 4, 8, 12 and 15) will survive.

14. Changes to these terms

We may update these terms. We will notify account holders by email at least 30 days before a material change takes effect. If you do not agree, you may terminate before the change applies.

15. Governing law and disputes

These terms are governed by Belgian law. The parties will first try to resolve any dispute in good faith. If that fails, the courts of Brussels have exclusive jurisdiction.

16. General

These terms, together with any order form and the DPA, form the entire agreement between the parties about the Service. If a provision is found unenforceable, the rest remains in effect. A failure to enforce a right is not a waiver of it. Neither party may assign these terms without the other's consent, except to a successor in a merger or acquisition. Neither party is liable for delays caused by events beyond its reasonable control.
